Guide on the Incorporation of Companies in Nigeria

Before a company can be incorporated in Nigeria, the following steps need to be taken:

1.  Conduct a Name Availability search and reservation. If the proposed name of the company is approved, Corporate Affairs Commission (“CAC”) will reserve it for 60 days.

2.  The following information need to be provided by the promoters of the company:

i. Nature and Address of the proposed company

ii. The name, residential address and share ratio of all Shareholders

iii. The name and address of all Directors

iv.The name and address of secretary

v.  Copies of ID Card of Directors, Shareholders and Secretary

3.  Completion of CAC Form 1.1 on the CAC portal.  

4.  Completion of the Memorandum and Articles of Association of the proposed company on the CAC Portal.

5.  Pay filing fee to CAC, and accessed stamp duty fee to FIRS.

6.  Print out the stamped document.

7.  Get the officers of the company to sign on the prescribed columns on the printed document.

8. Then, uploaded the Notice of Name Reservation, Executed Documents, ID Cards and Payment Receipts on the CAC portal.

9. Upon receipt of CAC’s mail notification that the company has been duly registered, approach the CAC office to obtain the Certificate of Registration with other corporate documents whilst submitting the physical/original copies of Notice of Name Reservation, Executed Documents, ID Cards and Payment Receipts.
